We do not guarantee specific academic outcomes, admission offers, grades, or results.
2.1 Delivery Through Affiliates & Third-Party Providers
The Company may deliver all or part of the Services through affiliated entities, employees, contractors, consultants, or third-party partner companies located inside or outside the United Arab Emirates, including but not limited to the United Kingdom.
The Company remains the sole contracting party with the user at all times. Any such third parties act on behalf of, or under the authority of, the Company for the purposes of service delivery only.
The Company does not guarantee that Services will be delivered by any specific individual, tutor, mentor, or entity and reserves the right to assign, substitute, or change service providers at its discretion without prior notice.
2.2 No Client Relationship With Service Providers
Users acknowledge and agree that they do not enter into any contractual, employment, agency, or fiduciary relationship with any tutor, mentor, instructor, or third-party service provider engaged by the Company.
All Services are provided exclusively through the Company, and any issues or claims relating to the Services must be raised solely with the Company.
3. Eligibility
To use our Services:
You must be legally capable of agreeing to these Terms.
Children under 18 may only engage with our Services with parental or guardian consent.
3.1 Status of Tutors and Service Providers
Tutors, mentors, instructors, and third-party providers engaged in the delivery of the Services act as employees, independent contractors, or subcontractors of the Company.
Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, or employment relationship between users and any individual service provider.
4. Safeguarding & Child Protection
We are committed to providing a safe environment for children, young people, and vulnerable adults.
Our safeguarding practices—including DBS or local equivalent checks, staff training, reporting procedures, acceptable conduct and online-safety rules—are detailed in our Safeguarding, Child Protection, and Online Safety Policies, which can be accessed upon request.

5. User Responsibilities
Users agree NOT to:
Engage in harassment, discrimination, bullying, or abusive behaviour.
Access the Services for unlawful or harmful purposes.
Share, copy, or redistribute proprietary course content without permission.
Share platform login information with others.
Attempt to disrupt or compromise our platform or data.
6. Booking, Payments, and Fees
Users agree to pay all fees associated with tutoring, mentoring, courses, or programmes.
Some Services and fees may include VAT, as required by UAE law.
Application or registration fees may be non‑refundable.
If fees are unpaid, we may suspend or terminate access to Services.
7. Cancellations & Refunds
Cancellations and refunds are governed by our Cancellation & Refund Policy.
Medefine reserves the right to modify or reschedule sessions, substitute staff, or change delivery formats to ensure service continuity.
8. Intellectual Property
All content—including lessons, course materials, videos, trademarks, branding, logos, and curriculum—is owned by MEDEFINE or licensed to us.
Users may not:
Copy, reproduce, share, or distribute content
Resell or commercially exploit our educational materials
This applies to all website content, including text, graphics, articles, posts, downloadable materials, branding, and design elements, whether or not access to such content requires registration.
Any materials, methodologies, or content created or delivered by third-party tutors or partners in connection with the Services shall be deemed part of the Company’s proprietary content or licensed to the Company for the purposes of delivering the Services.
9. Data Protection & Privacy
Personal data collected through use of the website or Services will be processed in accordance with the Company’s Privacy Policy and applicable UAE data protection laws.
Where required by law, the Company also applies internationally recognised data protection standards, including the UK GDPR and EU GDPR, to users located in those jurisdictions.
By using the Services, users consent to the transfer, storage, and processing of their personal data outside their country of residence, including in the United Arab Emirates and the United Kingdom.

c) The Company is not responsible for the acts or omissions of individual tutors, mentors, or third-party partners beyond the Company’s reasonable control.
d) The Company’s total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by the user to the Company in the three (3) months preceding the event giving rise to the claim.
12.1 Indemnity
Users agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, contractors, affiliates, and partners from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

– Misuse of the Services
– Violation of applicable laws or third-party rights
– Conduct that causes harm, loss, or damage to the Company or others

14. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Users agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
To the extent permitted by law, users waive the application of any foreign consumer protection or local laws outside the UAE.

15A. Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, internet or platform failures, labor disputes, or utility outages.
